Off The Plan Sales Contracts

Did you know that selling off the plan is COMPLETELY different to selling a finished product?

Many developers will be faced with selling off the plan at some point in their property development journey in order to satisfy financing requirements.

SO… What contract clauses are needed to protect yourself; and what additional information and clauses does the purchaser require?

A poorly drafted Sale Contract can have numerous unintended consequences, including the potential for purchasers to terminate contracts, and pursue the developer for damages. PLUS there are potentially very steep penalties for having “unfair” terms in your contract!

This week we have Damien Foulis and Alex Hamilton from HWL Ebsworth Lawyers to talk us through the main elements you need to be aware of:

- What’s in a properly prepared Sale of Land Contract

Kathryn O'Connor
Kathryn started on her property journey in 2006 after a major life change led to a quest for financial independence. She now sees her difficult start as her greatest advantage, as she was highly motivated to take action and to persevere, and at every step needed to look for solutions outside of the square. She bought her first properties in 2007 and 2008 - regional properties with add value opportunities, and soon moved into subdivision and development and related strategies, working with joint venture partners and independently. She quit her day job 10 years ago and is grateful to have been able to hugely surpass her original financial goals from when she set out on this journey. Her specialty is medium density infill development on tricky sites.

Have you ever wondered about working with a JV Partner?

Kathryn’s JV Partner sourced this site off market after she proposed the specific search location and parameters. Go Team!

BUT… they soon had to buckle-up and face some mighty challenges:

- Vendor threatened to pull out of sale a few days before settlement.
- Council pushed back at every point through the initial discussions & planning application - this was the first proposal of its type in what was a new zoning for the area.
- Covid uncertainties led to the decision to delay demolition & construction commencement in March 2020 in case they got shut down with no income, but the tenant had already left!
- High voltage powerlines on both frontages - had been considered at planning stage, but an unauthorised change in the designs at working drawing stage led the building to be too close & the site got shut down!
- Council refused the driveway crossover application halfway through construction with the garage already in place.
- Hot water services were installed in a non-compliant location - issue only identified on settlement when the gas company refused to connect.
- Bushfire compliances were overlooked (they were exempt at planning stage, but there were significant requirements as part of building compliance that weren't properly identified) - again this was only identified around settlement! Gadzooks!
